1. Scope of Services & Tier Usage

1.1. Trial Period and Card Authorization: You will receive access to a dedicated tenant of eBrainGo and all standard platform functions for a 2-week free trial period starting upon account activation. During the trial period, the service is provided free of charge; however, valid payment card information will be collected and kept on file for authorization and future billing purposes. During the trial period, access and usage limits may be restricted compared with paid plans.

1.2. Subscription Activation and Package Billing: Unless the trial is formally cancelled before its expiration, the selected SaaS package, event package, annual plan, or custom platform agreement will activate automatically at the end of the 2-week trial period, and the applicable package fee, add-ons, and attendee overage charges will be charged automatically via the payment method.

1.3. Included Services: Access to eBrainGo is provided according to the selected package, including the applicable number of event workspaces, attendee credits or participant capacity, platform modules, content storage limits, AI functionality, and support level described in the active pricing plan or order confirmation.

Core modules may include Event Creation, Agenda, Speakers, Participants, My Logistics, Push Notifications, Community Feed, Surveys, FAQs, Home Builder, Team Management, In-App Chat, Check-In QR, Venue & Map, App Theming, AI Chat Bot and Content Hub, subject to the selected package.

Advanced features, storage capacity, attendee credits, networking, lead tools, audit logs, VOD hosting, dedicated success support, white-label tenancy, integrations, and SLA coverage are included only where stated in the applicable package.

Optional add-ons may include Live Polls, Gamification, Exhibitor Module, Sponsor Module, and Live Broadcasting Engine, charged according to the selected package and billing frequency.

1.4. Support & Maintenance: Standard support for technical bugs and platform operation is provided via info@ebraingo.com. Requests for priority response, custom integrations, or dedicated on-site event support fall outside standard coverage and may incur additional fees.

2. Pricing, Plan Changes & Extra Attendee Capacity

2.1. Base Pricing: All prices are quoted in EUR and are exclusive of value-added tax (VAT) and applicable taxes, unless otherwise specified.

2.2. Single Event Package: The Single Event package is designed for one-off annual summits, conferences, or similar standalone events and is billed at €499 per event. It includes one active event workspace, up to 250 participants, core event modules, up to 5 home builder sub-pages, Basic AI Chat Bot access with a maximum of 20 queries per user, and 5 GB Content Hub storage. Additional attendees are charged at €3.00 per extra attendee. This package is not a recurring subscription unless separately agreed.

2.3. Annual Growth Package: The Annual Growth package is intended for agencies and teams running multiple events per year and is billed at €3,999 per year. It includes up to 10 events per year, 3,000 attendee credits, all Single Event features, Smart Networking Advanced AI RAG (3,000 AI Credits), and 50 GB Content Hub storage. Additional attendee credits are charged at €2.50 per extra attendee credit.

2.4. Annual Enterprise Package: The Annual Enterprise package is designed for large event portfolios and serial event organizers and is billed at €7,500 per year. It includes up to 20 events per year, 10,000 attendee credits, all Annual Growth features, Audit logs and team management, 100 GB Content Hub storage, Live Polls, Gamification, and 5,000 AI Credits. Additional attendee credits are charged at €2.00 per extra attendee credit.

2.5. Unlimited Platform Package: The Unlimited Platform package is a white-labeled multi-tenant SaaS platform for global enterprises and is subject to custom commercial terms agreed in writing. It may include unlimited events, custom attendee credits, all Enterprise features, a white-labeled SaaS tenant, custom integrations, SLA and premium support, and Live Broadcasting Engine included.

2.6. Add-Ons: Optional add-ons are billed according to the selected package. For Single Event plans, Live Polls are charged at €299 per event, Gamification at €249 per event, Exhibitor Module at €499 per event, Sponsor Module at €299 per event, and Live Broadcasting Engine at €999 per event. For Annual Growth plans, Live Polls are charged at €599 per year, Gamification at €699 per year, Exhibitor Module at €1,499 per year, Sponsor Module at €999 per year, and Live Broadcasting Engine at €999 per event. For Annual Enterprise plans, Exhibitor Module is charged at €1,499 per year and Live Broadcasting Engine at €999 per event unless otherwise included or agreed in writing.

2.7. Sponsor Module Application Fee: Upon activation of the Sponsor Module, eBrainGo will charge a platform application fee equal to 10% of the total value of each sponsor advertisement created, booked, or processed through the module. This fee applies separately to every sponsor advertisement and is in addition to the applicable Sponsor Module add-on fee and any taxes.

2.8. Plan Changes and Upgrades: Clients may upgrade from a Single Event package to an annual plan, or from Annual Growth to Annual Enterprise or a custom Unlimited Platform agreement, subject to confirmation by eBrainGo. Any price difference, additional attendee credits, add-ons, or expanded feature access may be charged immediately or added to the next invoice according to the agreed billing model.

2.9. Extra Attendee Packages & Overages:

Additional Attendee Capacity: If an event exceeds the standard attendee quota, the client may purchase extra attendee capacity packages at any time before or during an active event.
Mid-Event Attendee Top-Ups: Mid-event attendee additions are billed immediately upon purchase at the current add-on rate per attendee or package.
Automatic Overage Fees: If actual attendee registrations exceed the contracted quota without prior package top-up, eBrainGo reserves the right to automatically bill the account for the excess attendees at the standard overage tier rate.

2.10. Plan Downgrades: Plan downgrades, reductions in attendee credits, or removal of package features are permitted only before the start of the next billing cycle or renewal term and will take effect at the start of that subsequent cycle or term. No refunds or partial credits are issued for unused event capacity, attendee credits, add-ons, or subscription periods within an active billing period.

3. Payment Terms & Invoicing

3.1. Automated Billing: Payments are processed automatically via Stripe using the payment method on file. Single Event packages are charged per event, annual packages are charged yearly in advance, add-ons and attendee overages are charged according to the applicable package terms, and Unlimited Platform packages are billed according to the written commercial agreement.

3.2. Invoicing: Tax-compliant electronic invoices are generated automatically upon successful charge and sent to the client’s designated billing contact. Invoices are due immediately upon receipt.

3.3. Currency & Tax: The client is responsible for providing accurate tax registration numbers (e.g., VAT ID). Any applicable taxes or conversion charges will be added to the invoice where required by law.

4. Late Payments & Account Suspension

4.1. Interest on Overdue Payments: If automated billing fails or payment is not received by the due date, statutory interest on overdue amounts in accordance with standard German commercial law will accrue daily until payment is settled in full.

4.2. Service Suspension: eBrainGo reserves the right to temporarily suspend client tenant access, restrict app publishing capabilities, or disable event check-in tools if an invoice remains unpaid for more than 7 calendar days after notice. Service suspension does not relieve the client of the obligation to pay outstanding balances.

5. Mid-Term Modifications & Custom Features

5.1. Custom Feature Requests: Any client-requested custom development, bespoke integrations, branding modifications, or special functional additions beyond standard releases require a separate written Scope of Work (SOW).

5.2. Approval & Billing: Costs for custom modifications will be communicated in writing beforehand. Development will commence only after formal client approval and agreement on payment milestones.

6. Cancellation & Contract Duration

6.1. Trial Cancellation: Cancellation is permitted free of charge during the 2-week trial period. Written notice of trial cancellation must be submitted at least 2 business days before the end of the trial period via email or tenant settings.

6.2. Fixed Contract Term: Following the expiration of the trial period without cancellation, the contract becomes a binding fixed-term commitment for the contract duration stated in the applicable order confirmation, subscription agreement, or selected plan. During this contract term, ordinary cancellation before the end of the agreed term is excluded.

6.3. Contract Expiration & Renewal: The contract will automatically terminate at the end of the agreed fixed term unless renewed or extended in writing. To continue receiving services after expiration, a new subscription agreement, renewal order form, or written extension must be executed.

7. Limitation of Liability & Service Availability

7.1. Liability Limit: The provider shall not be held liable for indirect, incidental, punitive, or consequential damages, including lost profits, lost event revenue, or business interruption. Total aggregate liability under this agreement is limited strictly to the total amount of service fees actually paid by the client to eBrainGo during the 3 months preceding the event giving rise to liability.

7.2. Platform Availability: eBrainGo uses commercially reasonable efforts to maintain high platform availability. Scheduled maintenance windows will be communicated in advance when feasible.

8. Force Majeure

Neither party shall be held liable for any failure or delay in performance resulting from events beyond reasonable control, including but not limited to acts of God, widespread internet/cloud service provider blackouts, strikes, severe cyber-attacks, government restrictions, or public health emergencies.

9. Data Protection, GDPR & Content Ownership

9.1. Data Confidentiality: All client and attendee data processed through the eBrainGo tenant will be kept confidential and processed strictly for service fulfillment, user authentication, and invoicing.

9.2. GDPR Compliance: Both parties commit to compliance with the EU General Data Protection Regulation (GDPR). The client acts as Data Controller and eBrainGo acts as Data Processor. eBrainGo provides built-in GDPR tools, including "Download My Data" and "Right to be Forgotten" account deletion controls.

9.3. Content Ownership: The client retains full ownership of all event content, branding assets, speaker profiles, and attendee data uploaded to the tenant.

9.4. Client Responsibility for Legal Pages: The client is solely responsible for preparing, providing, maintaining, and ensuring the legal compliance of all Terms, Privacy Statements, Consent Forms, and other legal documents required for its events. eBrainGo’s responsibility is limited to rendering the legal documents provided by the client in the attendee app and web portal, where supported by the selected package.

10. Governing Law, Jurisdiction & Severability

10.1. Governing Law: These Terms & Conditions are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2. Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with this contract shall be Berlin, Germany.

10.3. Severability: If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
